You will be forming a limited liability partnership (LLP). This is a form of partnership - not, strictly speaking, a company.
An LLP requires a minimum of two designated members, meaning you generally need at least two people to form the partnership.
Designated members have additional responsibilities compared to normal members. Their duties include filing annual accounts and confirmation statements, registering the LLP for Self Assessment, and ensuring that the partnership always remains compliant.
Unlike a limited company, there are no shares in a limited liability partnership to define the ownership structure. Instead, an LLP is owned by its members. All members are entitled to an equal share in capital and profits, unless there is an LLP agreement that varies the rights of individual members.
The liability of an individual LLP member is limited to their agreed contribution. This limited liability is one of the main benefits of the LLP structure (as opposed to a standard partnership, where partners are entirely responsible for all debts accrued).
The LLP agreement is a contract that sets out the rights and duties of members in the LLP to ensure both they and the partnership are protected. Whilst an LLP agreement is not compulsory, it is highly recommended. The LLP Package includes a draft LLP agreement for you to use.
