At a cost of just £69.99 plus VAT, our LLP package offers excellent value and provides online company set up within 24 hours, digital and printed LLP incorporation documents and a free draft LLP Agreement. There is no need to use an LLP Agreement, but many partnerships prefer to have one drawn up, and it really is essential if you plan to divide profits between members in any way other than equally.

Once your LLP has been approved by Companies House, we will issue a draft LLP Agreement by email. You can then edit this document with the relevant details and email it back to us. We will then send 2 printed copies of the LLP Agreement to you by first class post.

You will be forming a limited liability partnership (LLP). This is a form of partnership - not, strictly speaking, a company.

An LLP requires a minimum of two designated members, meaning you generally need at least two people to form the partnership.

Designated members have additional responsibilities compared to normal members. Their duties include filing annual accounts and confirmation statements, registering the LLP for Self Assessment, and ensuring that the partnership always remains compliant.

Unlike a limited company, there are no shares in a limited liability partnership to define the ownership structure. Instead, an LLP is owned by its members. All members are entitled to an equal share in capital and profits, unless there is an LLP agreement that varies the rights of individual members.

The liability of an individual LLP member is limited to their agreed contribution. This limited liability is one of the main benefits of the LLP structure (as opposed to a standard partnership, where partners are entirely responsible for all debts accrued).

The LLP agreement is a contract that sets out the rights and duties of members in the LLP to ensure both they and the partnership are protected. Whilst an LLP agreement is not compulsory, it is highly recommended. The LLP Package includes a draft LLP agreement for you to use.

A SIC code or Standard Industrial Classification code is used to categorise a company's business activity. To register a limited company or LLP you must choose at least one SIC code, although you can choose up to four. Do not worry if you do not know the SIC code relevant to your business activity, Quality Company Formations provide a simple SIC code search tool where you can choose your SIC code or codes.
