A person with significant control (PSC) is someone who meets one or more of the following conditions for your company:

  • Owns more than 25% of the shares
  • Owns more than 25% of the voting rights
  • Has the right to appoint or remove the majority of the directors
  • Exercises or has the right to exercise significant influence or control.
  • Has the right to exercise significant influence or control over a trust or firm owning the company.

What information does a PSC need to send to Companies House?

Each PSC must provide their name, date of birth, nationality, country of residence, service address, home address, and the PSC conditions they meet for the company. Don't worry, your home address and the day element of your date of birth won't be made available to the public.

What personal information is made available at Companies House for a PSC?

The home address and the day element of a PSC's date of birth won't be available to the public. However, Companies House will collect this information and store it internally for their own use. All other information will then be published online.

What PSC changes can I report to Companies House with this service?

We can file the following changes to Companies House:

  • Notification of a new PSC
  • Cessation of a PSC (a person no longer being a PSC)
  • Changes to PSC details
  • Notification that the company has no PSCs

When do changes to a company's PSC need to be reported to Companies House?

You must report any changes to your company's PSC information to Companies House within 28 days of the change taking place.

I need to make multiple PSC filings, do I need to purchase this service multiple times?

Yes, each PSC filing requires a separate purchase of the service. If you have multiple filings to make, simply purchase the service for each one. This way, you ensure each filing is handled accurately and efficiently.

Do I still need to keep a PSC register?

It is no longer a legal requirement for companies to maintain a register of PSCs. You must, however, continue to identify your PSCs and keep their information up to date at Companies House.

Will you tell me who my PSCs are?

We can't carry out an investigation into who your company's PSCs are. However, we can provide some general guidance to help you. Once you know what information you need to report, let us know and we'll arrange the filings.

Can a company be a PSC?

No, a company cannot be a PSC. However, in some instances, a company can be reported on another company's PSC information if they are a registrable Relevant Legal Entity (RLE). An example of this is when a UK company is wholly owned by another UK company. The benefit is you don't need to investigate the rest of the ownership chain to figure out your PSCs, and can instead just report the RLE (the company) instead.
